Facility Use Agreement 15905 Sunset Blvd. Pacific Palisades, Ca. 90272 | palisadeslutheran.org AGREEMENTLICENSE TERMSPalisades Lutheran Church, (the "Landlord"), and __________________________, (the "Renter"), agree to the conditions outlined below. By entering this {hidden-29} Agreement, you, the Renter, agree to the following terms: This Agreement applies to the following space: {hidden-9}, operated by the Landlord: This rental is for the purpose of a/an {hidden-16}. The rental period begins on {hidden-17} and ends on {hidden-12}. The facility will be used on {hidden-18} from {hidden-19} to {hidden-20}. The expected capacity is {hidden-21} people. The event total duration is for {hidden-22}. Fees and Payment: A {hidden-29} rental fee of {hidden-10} will be charged for the use of the space. Initial payment is due at least one day before the start of the rental period. Any remaining payments are due at the beginning of each subsequent rental period and are considered delinquent after the seventh day. A late fee of $50.00 or 5% of the outstanding amount (whichever is greater) will be assessed for payments received after the seventh day of delinquency. Security Deposit: A security deposit of {hidden-11} is required to cover any damage and to ensure the Renter's responsibility for the property. The security deposit will be returned within 21 days after the license period ends and the premises have been vacated, less any deductions for damages beyond normal wear and tear, unpaid fees, or cleaning costs. An itemized statement of any deductions will be provided to the Renter. Key Policy: Any keys provided must not be duplicated. A key policy will be established and enforced on a site-specific basis, as approved by the Landlord. The Renter has been given: {hidden-24} key(s) to access the {hidden-9}. Key Access & Policy: {hidden-25} Insurance: The Renter must provide proof of Commercial General Liability insurance with a minimum of $1,000,000 per occurrence and $2,000,000 general aggregate. Palisades Lutheran Church, 15905 Sunset Boulevard, Pacific Palisades, CA 90272 must be named as Additional Insured. Coverage must be primary and non-contributory with waiver of subrogation. The Certificate of Insurance (COI) must be emailed to hello@palisadeslutheran.org at least 7 days before the rental date and must include event details, Additional Insured endorsement, and 10-day cancellation notice. Workers' Compensation is required if employing staff. Automobile Liability ($1,000,000 CSL minimum) is required if vehicles are used for event operations. Alternatively, the COI may be uploaded directly to this agreement. Parking Lot Usage: Standard Allocation: The Renter is allotted {hidden-23}. Additional Parking Requests: If additional parking is needed beyond the allotted spaces, the Renter must submit a written request to the Landlord or representative for prior approval. Each additional parking space or block of spaces will incur an additional cost unless otherwise approved. Unused Spaces: If the Renter does not require the rental of additional parking spaces, those spaces become available on a first-come, first-served basis. Parking Rules: The Renter must park only in designated areas shown on the parking lot map. Any unauthorized vehicles may be towed. Parking Availability: The Renter understands that parking is limited in the church lot. Street parking is available on surrounding streets. Expiration and Termination: This Agreement is a revocable license and becomes effective on {hidden-17} and expires on {hidden-12}. Upon signing and payment, the Renter agrees to all terms herein, with the rental period commencing on the effective date. As a license agreement, the Landlord retains absolute control of the premises and reserves the right to terminate this Agreement with 30 days' written notice, with or without cause. The Landlord may terminate immediately with written notice for cause (including non-payment, rule violations, or damage). The Renter acknowledges this is a non-exclusive license and the Landlord retains first priority for church programming. Compliance: All Renter activities must be appropriate for the facility and comply with all applicable civil, criminal, building, and fire codes, as well as the church's by-laws. Landlord Priority: The Landlord retains the right to use the church facilities as its first priority. Guest Access: Non-renters may attend functions in the common area only if they are guests of the authorized Renter, as set out in this Agreement. Cleaning Responsibilities: Following each activity, the Renter is responsible for cleaning the space. This includes proper disposal of garbage. The area must be kept clean and well maintained. No storage of combustible materials is allowed. During the final inspection, if food, liquids or trash are found in the rental space that requires professional cleaning, a cleaning fee may be billed or deducted from your security deposit. Prohibited Substances and Activities: No alcohol, illegal drugs, weapons, explosives, or smoking are permitted on the premises. Security: The Renter is responsible for securing the building and arming the alarm (if applicable) after all activities. Indemnification: The Renter and all non-renter guests agree not to hold the Landlord or its staff liable for any damages. Damage and Repairs: Any malfunctions, loss, or damage to the Landlord's furnishings, equipment, property, or to the property of any ministry partners and/or tenants (including but not limited to shared spaces such as Luther Hall) must be reported immediately. Repairs will be arranged by the Landlord, who reserves the right to charge associated costs if the damage is deemed to be the Renter's fault. Noise Levels: Noise levels should be acceptable and must be monitored for the sake of office workers and neighboring properties. Renter Responsibility for Terms: The Renter is responsible for ensuring that all users are aware of and always adhere to these terms. Breach of Agreement: If the terms and conditions of this Agreement are not met, the Renter will be considered in breach, and the Landlord reserves the right to stop activities. Costs associated with any breach, eviction, or legal proceedings will be attributable to the Renter. Initial & Final Walk-Through: An initial and final walk-through will be conducted, and any discrepancies will be noted and kept on file for our records. Acknowledgment of Appendices: The Renter acknowledges that all appendices attached to this Agreement constitute an integral part of this Agreement, and the Renter agrees to comply with all terms and conditions contained therein. Enforcement Discretion: Palisades Lutheran Church reserves the right to enforce any term or condition at its sole discretion. The church's choice to temporarily overlook or not enforce a specific condition does not constitute a waiver of that condition and does not prevent the church from enforcing it in the future. Assignment and Subletting: The Renter may not assign, transfer, or sublet this license or any rights hereunder without the prior written consent of the Landlord, which may be withheld in Landlord's sole discretion. Notice Procedures: All notices required under this Agreement shall be in writing and delivered via email to the addresses provided in this Agreement, or via certified mail to the physical addresses of record. Notices are deemed effective upon receipt. Force Majeure: Neither party shall be liable for failure to perform its obligations under this Agreement when such failure is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, government orders, public health emergencies, or other events of force majeure. In such events, the Landlord may terminate this Agreement with full refund of unused fees, or the parties may agree to reschedule. Entire Agreement and Severability: This Agreement, including all appendices, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements. If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect. This Agreement shall be governed by the laws of the State of California, and any disputes shall be resolved in the courts of Los Angeles County, California. The lease commitment duration is {hidden-22}. Rent and Payment: A {hidden-29} rent payment of {hidden-10} will be charged for the use of the space. Initial payment is due at least one day before the start of the lease term. Any remaining payments are due at the beginning of each subsequent payment period and are considered delinquent after the seventh day. A late fee of $50.00 or 5% of the outstanding amount (whichever is greater) will be assessed for payments received after the seventh day of delinquency. Security Deposit: A security deposit of {hidden-11} is required to cover any damage and to ensure the Renter's responsibility for the property. Term and Termination: This Agreement is a commercial lease and becomes effective on {hidden-17} and expires on {hidden-12}. Upon signing and payment, the Renter agrees to all terms herein, with the lease term commencing on the effective date. The Renter shall have access to and use of the premises on {hidden-18} from {hidden-19} to {hidden-20} as specified in Term 1. The Landlord may terminate this Agreement with thirty (30) days' written notice for material breach of this Agreement (including non-payment of rent). The Renter may terminate this Agreement with sixty (60) days' written notice, but shall remain liable for all rent through the end of the notice period or lease term, whichever comes first. Compliance: All Renter activities must be appropriate for the facility and comply with all applicable civil, criminal, building, and fire codes, as well as the church's by-laws and any applicable zoning regulations. Landlord Access: The Landlord retains the right to access the premises for maintenance, repairs, inspections, or emergency purposes with reasonable notice to the Renter, except in cases of emergency when no notice is required. Guest Access: The Renter may permit guests, employees, contractors, and clients to access the premises during the Renter's authorized use times as set out in this Agreement. The Renter is responsible for the conduct of all such persons. Cleaning and Maintenance: Following each use, the Renter is responsible for cleaning the space, including proper disposal of garbage. The area must be kept clean and well maintained. No storage of combustible materials is allowed. If professional cleaning is required due to the Renter's use, a cleaning fee may be billed or deducted from the security deposit. The Landlord shall maintain the building structure, common areas, and building systems in good repair and comply with all applicable building, health, and safety codes. Prohibited Substances and Activities: No illegal drugs, weapons, explosives, or smoking are permitted on the premises. Alcohol may be permitted only with prior written approval from the Landlord. Security: The Renter is responsible for securing the premises and arming the alarm (if applicable) after each use period. Indemnification: The Renter agrees to indemnify, defend, and hold harmless the Landlord, its officers, employees, agents, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to the Renter's use of the premises, the Renter's breach of this Agreement, or the negligence or willful misconduct of the Renter or its guests, employees, or contractors, except to the extent caused by the Landlord's gross negligence or willful misconduct. Damage and Repairs: Any malfunctions, loss, or damage to the Landlord's furnishings, equipment, property, or to the property of any ministry partners and/or tenants (including but not limited to shared spaces such as Luther Hall) must be reported immediately to the Landlord. Repairs will be arranged by the Landlord, who reserves the right to charge associated costs to the Renter if the damage is caused by the Renter's negligence, misuse, or violation of this Agreement. The Renter shall not be responsible for normal wear and tear. Noise Levels: Noise levels must be reasonable and monitored for the sake of office workers, other tenants, and neighboring properties. The Renter shall comply with all applicable noise ordinances. Renter Responsibility: The Renter is responsible for ensuring that all users, guests, employees, and contractors are aware of and adhere to these terms at all times. Default and Remedies: If the Renter fails to pay rent when due, materially breaches any term of this Agreement, or abandons the premises, the Landlord may, after providing any notice and opportunity to cure required by California law, pursue any remedies available under California law, including but not limited to termination of this lease through unlawful detainer proceedings and recovery of unpaid rent, damages, and costs. If either party must pursue legal action to enforce this Agreement, the prevailing party shall be entitled to recover reasonable attorney's fees and court costs. Holdover: If the Renter remains in possession of the premises after the expiration of this lease without the Landlord's written consent, the Renter shall pay rent at one hundred fifty percent (150%) of the rate specified in Term 2 for each day of holdover, in addition to any other remedies available to the Landlord under California law. Initial & Final Walk-Through: An initial and final walk-through will be conducted, and any discrepancies will be documented in writing and kept on file for the parties' records. Acknowledgment of Appendices: The Renter acknowledges that all appendices attached to this Agreement constitute an integral part of this Agreement, and the Renter agrees to comply with all terms and conditions contained therein. Assignment and Subletting: The Renter may not assign this lease, sublet the premises, or transfer any rights hereunder without the prior written consent of the Landlord, which consent shall not be unreasonably withheld, conditioned, or delayed. Any attempted assignment or subletting without consent shall be void and constitute a material breach of this Agreement. Notice Procedures: All notices required under this Agreement shall be in writing and delivered via email to the addresses provided in this Agreement, or via certified mail, return receipt requested, to the physical addresses of record. Notices sent by email are deemed effective upon receipt. Notices sent by certified mail are deemed effective three (3) business days after mailing. Force Majeure: Neither party shall be liable for failure to perform its obligations under this Agreement when such failure is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, fire, flood, earthquake, pandemic, epidemic, government orders, war, terrorism, or other events of force majeure. The affected party shall provide prompt written notice to the other party. If the force majeure event continues for more than thirty (30) consecutive days and prevents the Renter's use of the premises, either party may terminate this Agreement upon written notice with a pro-rata refund of prepaid rent. Entire Agreement, Severability, and Governing Law: This Agreement, including all appendices, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendments must be in writing and signed by both parties. If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. This Agreement shall be governed by and construed in accordance with the laws of the State of California. Any disputes arising under this Agreement shall be resolved in the courts of Los Angeles County, California, and both parties consent to the jurisdiction and venue of such courts. APPENDICESAppendix A: Facility Use Policy & ProceduresAPPENDIX A: FACILITY USE POLICY & PROCEDURES (INT)______ I further acknowledge and agree that: All space use requests must receive final approval from the Pastor; and Palisades Lutheran Church's provision of space does not constitute an endorsement of any statements, opinions, beliefs, or activities expressed or conducted by me or my organization. I agree to abide by the following additional Policy & Procedures regarding the use and accommodation of facilities at Palisades Lutheran Church: Reservation & Payment Request Process: New requests for one-time or ongoing use of space must be submitted on the Use of Space Request Form, available on our Church website. Security Deposit: A minimum of $150.00 refundable deposit to ensure the space is left as agreed (due at time of booking) Cleaning Fee: A minimum of $95.00 cleanup fee assessed (if food is served and/or if rental space is not cleaned after use) Usage Fee: The final cost for using the space will be determined by the Pastor based on the requested date, duration, and facility needs. Fees are subject to change without notice. The calculator used in your initial request form provides only an estimated cost for renting our spaces. Please note that the final cost may vary based on your specific needs and might include additional fees, fee waivers, or applicable discounts. Payment Method: Checks payable to "Palisades Lutheran Church" must be submitted no later than one day prior to the start date unless other arrangements have been made. Personal checks are not accepted. Only cashier's checks and money orders can be mailed or dropped off to the receptionist, Sandy on Tuesdays, Wednesdays or Fridays between 9am and 2pm. Other payment delivery options may become available at that point renters will be notified. Cancellation Policy: Cancellations must be made at least 7 days in advance to receive a full refund of initial payment and/or security deposit. PLC reserves the right to cancel or terminate any arrangement as deemed necessary by the Pastor. In such cases, deposits will be refunded. Insurance: Liability insurance may be required for certain events (please inquire) Facility Use Rules Space Limitations: Only approved rooms/spaces may be used and must be arranged as agreed. Responsibility: The individual or group using the space is responsible for any damage to the building, its contents, or grounds. Personal Belongings: All personal items must be kept in designated areas only. The church is not responsible for any personal items stored on the premises, whether authorized or unauthorized. Items must be clearly and explicitly labeled, and may be required to be moved at the discretion of the church with or without cause. No Smoking: No smoking on church property. Hours: Out of consideration for our neighbors, non-church activities must end by 10:00 p.m. Food/Drink Restrictions: Food and drinks (except water) are not allowed in the Sanctuary Setup/Takedown: PLC does not provide setup or take-down services for furniture, supplies, or decorations. Setup and breakdown time must be included in your rental time as we base our availability on total time used. Decorations Policy: No tape on walls, no confetti, and only artificial candles allowed. All decorations must be removed immediately after the event. Cleaning Expectations: All users must return the space to its original condition. This includes removing all trash, personal items, and returning furniture to its original position. Facility Information Unauthorized use of any church equipment or tenant property is strictly prohibited. This includes but is not limited to: audio/visual systems, recreational equipment, musical instruments, electronics, office equipment, microphones, lighting systems, and technical devices. Sanctuary Capacity: 200 seats, plus 50 in the balcony. The Sanctuary may be heated. Luther Hall: Luther Hall closet contains 150 moveable chairs, 12 round tables, and 12 6-foot tables. No central a/c or heating available at this time. Kitchen Guidelines: You may bring your own food, drinks, dishes, and utensils. Please do not use any items belonging to the church. PLC supplies may not be used Refrigerator storage space requires approval and is an add-on fee Stove and oven may be used for warming only Kitchen must be left clean All leftover food and trash must be removed or placed in the dumpster before leaving Traffic Flow: Entrance ONLY on El Medio and Exit ONLY on Sunset. I understand that proof of fire impact may be requested for verification purposes and agree to provide such documentation if required. I further acknowledge that providing false information regarding fire impact may result in the termination of this agreement and potential legal consequences. Verification Method: [We may ask you to provide details on how the fire impact was verified, e.g., FEMA registration, disclosure, insurance claims, etc.] Discount Details: Based on the qualifying number of affected attendees, a {select-9} discount has been applied to the usage fee. This program will remain available for 3 years to support community rebuilding efforts. The undersigned must re-qualify annually when the agreement term is up for renewal or during regular review as community recovery progresses. We reserve the right to cancel this discount if we determine that information was falsified or misrepresented. Appendix E: Athletic Activities and Participant Waivers(INT)______ I acknowledge that use of this space involves athletic activities and agree to the following terms regarding participant safety and supervision: Applicability: Applies to sports, fitness, or athletic activities involving participant physical activity. Participant Waiver: I must collect signed waivers and assumption-of-risk releases for all participants and, for minors, parent or guardian signatures. Include consent for emergency medical treatment. Participant Accident Medical: Recommended to carry participant accident coverage in addition to liability insurance. Supervision and Qualified Staff: I will provide adequate supervision and qualified coaches/instructors. Background checks must be completed where required by law. Personal Property Restrictions: I may use shared spaces but may not use personal property explicitly labeled as belonging to other tenants or ministry partners without permission. Examples of tenant/ministry partner personal property include but are not limited to: Portable speakers, tablets, microphones, kitchen appliances, basketball hoops, weight training equipment, volleyball nets, soccer goals, bleachers, resistance bands, yoga mats, foam rollers, exercise balls, balls, nets, protective equipment, equipment carts, storage bins, organizational systems, cones, agility ladders, speed hurdles, markers, or other coaching equipment Examples of Shared Spaces: Shared spaces available to all renters include: Lobby and sitting areas, kitchen facilities (excluding church-owned supplies), bathrooms, courtyard and outdoor common areas, tables and chairs in common areas not specifically labeled, hallways and corridors, storage closets designated for shared use, parking lot, entry and exit areas, foyer, narthex, Luther Hall, Sanctuary, Fireside room, and classrooms (when not exclusively reserved) Liability for Unauthorized Use: Unauthorized use of personal items belonging to tenants or ministry partners makes the user responsible for any loss, damage, or theft of such property. Respect for Operations: I understand that tenants and ministry partners may have ongoing operations and scheduled activities. I agree to respect their space, equipment, and schedule, and will coordinate with the Landlord to avoid conflicts. No Storage in Unauthorized Areas: I will not store personal belongings in areas designated for tenant or ministry partnership use without explicit written permission from both the Landlord and the tenant/ministry partner.
